Welcome to Turnexedic. These Terms of Service ("Agreement") constitute a legally binding contract between you, whether personally or on behalf of an entity ("User" or "you"), and Turnexedic concerning your access to and use of our video editing software, website, and associated services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these terms. If you do not agree with all of these terms, then you are expressly prohibited from using the Service and must discontinue use immediately.
Turnexedic provides a comprehensive software solution designed for video creation and editing across various levels of complexity. Our Service includes, but is not limited to, tools for trimming, merging, color correction, audio overlay, visual effects, and exporting video content in multiple formats. The Service may be provided via a downloadable application, a web-based interface, or other digital platforms as determined by Turnexedic.
The Service is intended for users who are at least 18 years of age. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement. To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete. You are responsible for safeguarding your password and for all activities that occur under your account.
Unless otherwise indicated, the Service, including its source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by Turnexedic or licensed to us, and are protected by copyright, trademark, and other intellectual property laws of the United States and international conventions.
Subject to your compliance with these Terms, Turnexedic grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service strictly for your personal or internal business purposes. Any commercial redistribution of the software itself is strictly prohibited.
You retain all ownership rights to the videos, images, and audio files you upload to the Service ("User Content"). However, by uploading User Content, you grant Turnexedic a worldwide, non-exclusive, royalty-free license to use, host, store, and process your content solely for the purpose of providing and improving the Service to you. You represent that you own or have the necessary licenses and permissions for all User Content you process through Turnexedic.
You may not access or use the Service for any purpose other than that for which we make the Service available. Prohibited activities include, but are not limited to:
Turnexedic may offer both free and paid subscription tiers. If you choose a paid plan, you agree to provide current, complete, and accurate purchase and account information. We use third-party payment processors to handle billing. You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, TURNEXEDIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE’S CONTENT AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS.
IN NO EVENT WILL TURNEXEDIC OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
You agree to defend, indemnify, and hold Turnexedic harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) use of the Service; (3) breach of these Terms of Service; (4) any breach of your representations and warranties set forth in these Terms; or (5) your violation of the rights of a third party, including but not limited to intellectual property rights.
These Terms shall remain in full force and effect while you use the Service. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICE TO ANY PERSON FOR ANY REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS.
These Terms and your use of the Service are governed by and construed in accordance with the laws of the United States and the laws of the State where Turnexedic is headquartered, without regard to its conflict of law principles. Any legal action or proceeding related to your access to or use of the Service shall be instituted in the state or federal courts located within that jurisdiction.
Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the American Arbitration Association (AAA). The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be determined by the location of Turnexedic’s primary business office. The language to be used in the arbitral proceedings shall be English.
Turnexedic reserves the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates. Your continued use of the Service after the date such revised Terms are posted will be deemed your acceptance of the changes.
